Please read carefully these General Terms and Conditions of Sale and General Terms and Conditions of Use of the marimbacouture.com website.

  1. Seller identification

These general terms and conditions of sale apply to the sales defined below and carried out by MARIMBA COUTURE, a simplified joint stock company with a share capital of €5,000, whose registered office is located at 10, Rue de la Mairie – 09500 Lapenne – France, registered in the Foix Trade and Companies Register under number 977 869 163.   1. Scope and acceptance of the General Terms and Conditions of Sale

The purchase of products offered on the www.marimbacouture.com/fr website (hereinafter the “Site”) is subject to the present terms and conditions of sale (“Terms and Conditions”). The Site allows you to order, online via the Internet, from MARIMBA COUTURE a selection of Marimba brand products (hereinafter the “Product(s)”). The Products are exclusively intended for sale to end consumers, whether natural persons or legal entities, to the exclusion of all resellers or intermediaries acting on behalf of resellers. Consequently, the customer declares that he is acting as a final consumer and that he does not intend to resell, directly or indirectly, the Marimba Products for commercial purposes. This commitment constitutes an essential condition for MARIMBA COUTURE. The customer certifies that he/she has the legal capacity to enter into the commitments provided for herein. MARIMBA COUTURE may update these Terms and Conditions at any time. You can check the current version of the General Terms and Conditions of Sale at any time by visiting the “General Terms and Conditions of Sale” section of the Site. The contract of sale between you and MARIMBA COUTURE shall include the terms and conditions of your order and the terms and conditions of sale applicable at the time of your purchase, which shall apply to the exclusion of any other terms and conditions or any conditions implied by trade, customer or course of dealing. In addition, each time you make a purchase on the Site, you will be asked to confirm your acceptance of these General Terms and Conditions of Sale in force on the date your order is placed. These terms and conditions can be viewed before and at the time you are asked to confirm your acceptance of them. To confirm your acceptance, you must check the box “I accept the General Terms and Conditions of Sale (new window), and consent to the processing of my data in accordance with Marimba’s Privacy Policy”. You can consult Marimba’s Privacy Policy at any time by clicking on the link entitled “Privacy Policy”.

  1. How to order

If you have any questions about the Products or your orders, you can contact our customer service department (hereinafter referred to as “Customer Service”) by clicking on the “Contact” link. The Site allows you to order, online via the Internet, from MARIMBA COUTURE, a selection of Products for delivery under the conditions specified in article 8.1 “Delivery zone”. The Site does not allow the placing of special orders, in particular the creation of a Product that does not exist or no longer exists in the Marimba Couture collection, or the adaptation/modification of a Product from the Marimba collections by MARIMBA COUTURE. However, the present General Terms and Conditions of Sale will apply to any purchase of personalized products at your request (see article 4.2 below).

4. Product availability

Product offers are valid while stocks last. In fact, each piece is produced in a single, unique edition. Sales are therefore subject to availability. Furthermore, Marimba reserves ownership of the Products until payment for the Products has been received in accordance with the provisions of Article 7 below. In the event that a Product is unavailable after you have placed your order, we will inform you by e-mail or telephone as soon as possible, offering you either to order another Product presented on the Site as a replacement, or to cancel your order. MARIMBA COUTURE shall not be held liable in the event that the Products are out of stock or unavailable. MARIMBA COUTURE reserves the right to change the Products offered on the Site at any time and without notice. In order to ensure a better quality of service and availability of our Products to all its customers, MARIMBA COUTURE reserves the right to limit the quantity of Products that may be purchased by a customer, in accordance with the provisions applicable in this respect and in particular those of Article L. 121-11 of the French Consumer Code.

5. Ordering procedure

5.1. Site ordering procedure

5.1.a) Product selection

You can add Products to your selection at any time by clicking on “Add to cart”. You can consult your selection by clicking on “My Wish List” in the top right-hand menu, where you will see: the photo(s) of the Product(s), its color(s) and reference(s), the quantity(ies) chosen, its/their unit price(s) and the subtotal of the selection.

5.1.b) Identification

After selecting the Product(s), click on “Proceed to checkout” to start the checkout process. A customer account is required to place an order on the Site: – If you already have a customer account, you will need to identify yourself at this stage by entering your password. – If you do not yet have an account, you will be invited to create one by confirming your e-mail address and creating a password later, and you will also have the option of continuing as a guest. Your usernames and passwords are strictly personal, and you therefore undertake to keep them securely and never to pass them on to third parties. In the event of loss, theft or any fraudulent use of your customer account, you agree to inform MARIMBA COUTURE immediately. Creating an account allows you to: – track your deliveries and consult your order history; – return or exchange Products; – add or modify your delivery and billing addresses for future orders. Unless the customer provides proof to the contrary, the data recorded by the Site constitutes proof of the nature, content and date of all transactions between MARIMBA COUTURE and its customers. In the event of a dispute between MARIMBA COUTURE and one of its customers concerning a transaction carried out on the Site, the data recorded by MARIMBA COUTURE is considered valid proof of the content of the transaction, unless the customer provides proof to the contrary. You can have your account deactivated at any time by sending an e-mail to Customer Service by clicking on the “Contact” link or by e-mail: contact@marimbacouture.com

5.2. Validation of orders placed on the Site

5.2.a) Validation of delivery terms

You will need to fill in the delivery information required for your order to be dispatched: country of dispatch, title, first name, surname, telephone number, delivery address, payment details and any other information required to process your order. Once this step is complete, click on “Order”.

5.2.b) Order payment confirmation

You can use your delivery address as your billing address, or enter a different one. At the end of the ordering process described above, and after having accepted the present General Terms and Conditions of Sale and Use and the Site’s Privacy Policy in their entirety, click on the “Order” button. While every effort is made to ensure that the color and pattern of the Products whose photos are displayed on the Site are faithful to the original Products, variations may occur, notably due to the technical limitations of color rendering on your computer equipment. MARIMBA COUTURE cannot be held responsible for any errors or inaccuracies in the photographs or graphic representations of the Products shown on the Site. If you have any questions about the Products, please contact our Customer Service Department. For more information on payment methods (currencies, accepted payment methods, etc.), please refer to the section below entitled “6. Prices – Accepted payment methods”. Once completed, your order is sent to MARIMBA COUTURE for processing. The sales contract will be formed once we have received your order. We will proceed with the shipment of your Product subject to the availability of the purchased Product (as provided above) and the effective payment of the Product. MARIMBA COUTURE reserves the right not to accept an order from a customer with whom it is in dispute over a previous order, or if MARIMBA COUTURE reasonably believes that the customer has breached these Terms and Conditions or engaged in fraudulent activity, or for any other legitimate reason.

5.2.c) Order summary

A summary of your order will then be sent to you by e-mail (“My Marimba order”). This summary will show the total amount of the order, information concerning the cost and delivery time, the essential characteristics, quantity and price of the Products purchased. We recommend that you keep this summary in electronic form. You will then receive an e-mail confirming shipment of your order, with your electronic invoice attached. We make every effort to ensure that you receive our communications as quickly as possible. We advise you to check your “Spam” folder if you have not received the dispatch confirmation e-mail. Pursuant to Article L213-1 of the French Consumer Code, when an order is for an amount equal to or greater than 120 Euros, MARIMBA COUTURE retains the written record of the contract concluded between MARIMBA COUTURE and a customer by electronic means for a period running from the conclusion of the contract until the date of delivery of the goods and for a period of ten years thereafter (in accordance with Decree 2005-137 of February 16, 2005). You can then access this document at any time, on request to Customer Services after providing proof of your identity.

5.3. Bills

Your invoice will be sent by MARIMBA COUTURE in a shipment confirmation e-mail. We do our utmost to ensure that our communications reach you in good time. However, it is possible that some e-mails may be classified as spam. We therefore advise you to check your spam folder if you have not received your shipping confirmation e-mail. You can also download your electronic invoices in the “Your orders” section of your personal account. A customer account is automatically created for each order. To access your electronic invoices, you need to log in to your account. If you have never logged in before, you can click on the account confirmation email to create a password, or you can create a password directly on the site by clicking on “forgot password”. If you would like to receive a printed version of your invoice, please contact our Customer Service Department within one (1) month of dispatch of your order.

6. Prices – Accepted means of payment

6.1. Price

The prices of the Products are indicated in Euros, all taxes included. Except in the case of reimbursements (i) in connection with the exercise of the right of withdrawal or for the purpose of (ii) lack of conformity and hidden defects, MARIMBA COUTURE will not reimburse the VAT charged on purchases made on the Site (even in the event that the buyer, after receipt, reships the Products to a third country). Products are invoiced on the basis of the prices displayed on the Site at the time your order is placed, subject to availability. All orders are payable in Euros and must be paid at the time of placing your order. In the event of unavailability of certain Products ordered (see Article 4 “Product Availability”), only the price and shipping costs relating to the Products available will be charged.

6.2. Payment methods accepted – Payment by credit or debit card

The following credit and debit cards are accepted: Visa®, MasterCard®, American Express®, Carte Bleue®. Credit card payments are authenticated and secured by the 3D Secure system. This device is also known as “Verified by Visa®”, “MasterCard® SecureCode” or “American Express SafeKey®”. During payment, the bank requests personal information from the Internet user in order to verify the cardholder’s identity and validate the transaction. How do I pay with 3D Secure on Marimbacouture.com? Once you’ve validated your bank details (card number, expiry date and security code), a new page will appear on which you’ll be asked to enter the personal information requested by your bank. This information can be : – the answer to a personal question; – a password you’ve chosen beforehand; – a code sent by SMS, – your date of birth… Once the 3D Secure code has been entered and validated by your bank, your order is finalized. You will then receive a confirmation e-mail. Authentication is specific to each bank. If you have any questions about your 3D Secure code, please contact your bank directly. Your order can only be dispatched once we have verified your payment method and received authorization to debit your card. Your account will be debited when your Order is dispatched.

7. Reservation of ownership

The Products ordered remain the property of MARIMBA COUTURE until full payment has been received by MARIMBA COUTURE. On the other hand, you assume the risks (in particular of loss, theft or deterioration) associated with the Products delivered as from their delivery to the address indicated at the time of the order.

8. Terms of delivery

8.1. Delivery zone – Delivery to a postal address

The parcel containing the items ordered and paid for is delivered by hand to the exact address given when the Order was placed. All deliveries are made against signature.

Several delivery options are available:

– UPS: Express delivery Monday to Friday, 9 a.m. to 6 p.m.

The Buyer is informed by email and/or SMS when the parcel has been picked up by the carrier, as well as the exact delivery date.

In the event that delivery is impossible due to the absence of the recipient at the delivery address, a delivery notice will be left at the delivery address indicated by the Purchaser and the carrier will make a new delivery attempt on the next working day. In the event of failure, a new run will be made on the next working day. If delivery cannot be made, the Buyer has five working days from the last delivery date to contact Customer Service before the items in the Order are put back into stock and the Order is cancelled and refunded.

– UPS: “Saturday” delivery option from 9 a.m. to 12 p.m.

Buyers who place their Orders before 12 noon on Thursday may be offered the possibility of delivery on the following Saturday. The service will only be offered if the postal code entered in the delivery address is eligible. Orders placed after this deadline will not be delivered until Saturday of the following week.

In the event that delivery is impossible due to the absence of the recipient at the delivery address, a delivery notice will be left at the delivery address indicated by the Purchaser and the carrier will make a new delivery attempt on the next working day. In the event of failure, a new run will be made on the next working day. If delivery cannot be made, the Buyer will have five working days from the last delivery date to contact Customer Services before the items in the Order are put back into stock and the Order is cancelled and refunded.

8.2. Delivery charges

Deliveries (subject to the availability of the following shipping services at the time of purchase) :

Free shipping on all orders, UPS service

Deliveries to a member state of the European Union

Free shipping on all orders, UPS service

Worldwide deliveries (excluding EU zone, see below)

Shipping costs will be charged at 75.00 EUR for all orders, UPS service.

8.3. Terms and delivery times

When you place your order, we will inform you of the delivery time, which will be confirmed in the order dispatch confirmation. The delivery time indicated below runs from the e-mail dispatching your order. This time may be extended in exceptional circumstances. Any order placed on a non-business day will postpone delivery until the next business day. Marimba will do its utmost to meet the delivery deadlines specified below. In the event of an event beyond our control causing a delay in delivery, we will inform you as soon as possible. You can either request a new delivery date or cancel your order and receive a refund. Any change in delivery terms must be made via the application provided or our carrier’s website. Failing this, Marimba cannot be held responsible in the event of non-compliance with the delivery terms set out below. Marimba will not be held responsible in the event of non-compliance with deadlines (late delivery, impossibility of delivery, return of Products to Marimba, etc.) resulting from the erroneous and/or incomplete nature of the information provided by you for delivery and/or your absence at the time of delivery.

The deadlines are as follows:

– Next-day delivery (working day) to most economic zones in France.

– Next-day delivery (working day) to most other economic zones in Europe.

– Second business day delivery to most U.S. business addresses and major Canadian trade areas.

– Same-day delivery within 2 to 3 working days to Asia

UPS service times are :

– one (1) to two (2) working days for orders placed and validated before 1 p.m. on a working day ;

– two (2) to three (3) working days for all orders placed and validated after 1 p.m. on a working day.

9. Delivery problems

Any defect or delay in delivery exceeding the delivery times mentioned in article 8.3 must be reported to our Customer Service as soon as possible. In the event of non-compliance with the delivery deadline, you may give MARIMBA COUTURE formal notice to proceed with delivery within a reasonable additional period. If no delivery is made within this additional period, you may cancel the order in writing. However, in the event of non-compliance with the delivery deadline, and without further delay, you may immediately cancel the order under the conditions of article L. 216-6 of the French Consumer Code, if you have indicated to us that compliance with the delivery deadline is an essential condition of your purchase. MARIMBA COUTURE will then be obliged to reimburse all sums paid, at the latest within fourteen (14) days following the date of cancellation of the sales contract. If you nevertheless receive the Product after having exercised this option, you must return it in accordance with the return procedure set out in article 11 below. You must check the conformity of the Products at the time of delivery and indicate, if possible on the delivery note, in the form of handwritten reservations accompanied by your signature, any anomalies noted (open package, damaged product, etc.). You must then contact Customer Services (see Article 3). In the event of non-conformity of the Products purchased or if you are not satisfied with them, you may return them or request an exchange or refund under the conditions set out in articles 10 “Right of withdrawal” and 11 “Return, exchange and refund procedures”.

10. Right of withdrawal

10.1. Right of withdrawal and withdrawal period

You have a legal right of withdrawal that you can exercise under the conditions set out in articles L221-18 and L221-20 of the French Consumer Code, if you meet the conditions set out in these provisions, without having to justify your decision or pay any penalties. MARIMBA COUTURE’s general return policy (for refund or exchange) allows you to cancel your order within fourteen (14) days from the date of delivery of the Products, without having to justify your reasons and without having to pay any penalty. Once this period has elapsed, you will no longer be able to exercise your right of withdrawal.

10.2. How to exercise your right of withdrawal

You can send your withdrawal request by contacting our Customer Service or use the model withdrawal form available in the appendix to these General Terms and Conditions of Sale.

10.3. Consequences of the right of withdrawal

When exercising your right of withdrawal or in the event of non-conformity of the Product, you may return the Product(s) purchased and request an exchange or refund under the conditions described in article 11 below.

11. Returns and refunds

11.1. From the .com site

11.1.a) Free return procedure

Products must be returned from a country within the Delivery Zone and in accordance with the terms and conditions set out below. MARIMBA COUTURE shall not be liable for any loss, damage and/or delay related to returns made from a country outside the Delivery Zone (see article 8.1) and/or not complying with the following terms and conditions. Any additional costs (taxes and/or customs duties) and/or customs clearance formalities for a return from a country outside the Delivery Zone will be borne exclusively by you. When exercising the right of withdrawal, Products must be returned in their original condition and packaging (black box, individual sachet and shipping carton), accompanied by their purchase invoice. To do this, our Customer Service will contact you to register your return and tell you how to return it. You will then have a maximum of ten (10) days from the registration of the return to return your package to the address provided by our Customer Service. If you have any questions, please contact our Customer Service department.

11.1.b) Refunds

The latter will take place immediately upon receipt of the Product(s). A confirmation e-mail will be sent to you. The refund, including the delivery costs of the initial order, will then be made using the same method of payment used for the order and in the same currency as that used to pay for the order. Please note, however, that your bank may take up to ten (10) business days to issue a refund to your card, depending on processing times. This varies from card issuer to card issuer, and MARIMBA COUTURE is unable to expedite this process beyond our control.

11.1.c) Gifts ordered from the Site

Only the customer who purchased the gift will be able to request reimbursement within the framework of the right of withdrawal (insofar as only the bank account of the person who ordered the product can be credited).

12. Legal and commercial warranties

12.1. Legal warranties

Products sold by MARIMBA COUTURE are subject to the legal warranties stipulated in articles L217-4 to L217- 14 of the French Consumer Code and articles 1641 to 1648 of the French Civil Code, to the exclusion of all other warranties:

These legal warranties apply independently of the commercial warranty referred to in article 12.2.

– Legal warranty of conformity (L217-4 to L217-14 of the French Consumer Code) :

MARIMBA COUTURE will deliver to you a Product in conformity with the contract and free from defects of conformity at the time of delivery of said Product, in the sense that the Product will be fit for the use usually expected of a similar good and that it will have the characteristics described at the time of sale. Defects in conformity which appear within twenty-four (24) months of delivery are presumed to have existed at the time of delivery, unless proven otherwise. You may choose between repairing or replacing the Product, unless one of these options is impossible or entails a manifestly disproportionate cost, in which case MARIMBA COUTURE may choose the other solution. Furthermore, in the event of a serious lack of conformity, you may obtain a refund of the price paid and return the Product, or keep the Product and obtain a partial refund. The repair, replacement or refund of the Product will be free of charge to you and does not preclude the possible award of damages should you be entitled thereto.

– Legal warranty against hidden defects (art. 1641 to 1648 of the French Civil Code) :

MARIMBA COUTURE will provide you with a Product that is free from hidden defects that render it unfit for its intended use, or that impair this use to such an extent that you would not have purchased it, or would have paid a lower price for it, had you been aware of them. This warranty will only apply if you make a claim within two (2) years of the discovery of the defect, and in any case within five (5) years of the date of purchase. In the event of a hidden defect, you will have the choice of returning the Product and receiving a refund of the price and costs incurred by the sale, or keeping the Product and receiving a partial refund. In all cases, it is up to you to prove that you meet the warranty conditions. In the event of lack of conformity or hidden defects, you must return the Products to MARIMBA COUTURE by contacting our Customer Service Department.

13. Limitation of liability

Under no circumstances shall MARIMBA COUTURE be held liable for any damage that does not result from a breach by MARIMBA COUTURE of one of its obligations.

14. Applicable law – Disputes

These General Terms and Conditions of Sale shall be governed by and construed in accordance with French law. In the event of any dispute relating to the application and/or interpretation of these General Terms and Conditions of Sale, you may contact our Customer Service Department (see Article 3). You can also use conventional mediation or any other alternative dispute resolution procedure. In accordance with order no. 2015-1033 of August 20, 2015 and implementing decree no. 2015-1382 of October 30, 2015, any so-called consumer dispute or litigation, subject to article L612-2 of the French Consumer Code, may be settled amicably by mediation with the CMAP – Centre de Médiation et d’Arbitrage de Paris. To submit a dispute to the mediator, the customer may (i) fill in the form on the CMAP website: www.cmap.fr “You are: a consumer” tab (ii) send the request by simple or registered mail to CMAP Médiation Consommation, 39 avenue Franklin D. Roosevelt, 75008 PARIS, or (iii) send an email to consommation@cmap.fr. Regardless of the means used to refer your case to the CMAP, your request must contain the following elements in order to be processed rapidly: your postal, email and telephone contact details, as well as the full name and address of MARIMBA COUTURE, a brief statement of the facts, and proof of prior contact with MARIMBA COUTURE. In the event of a dispute relating to the execution of an order, if you are an individual consumer, you have the possibility of resorting free of charge to a conventional mediation procedure or any other alternative dispute resolution procedure. You may, if you wish, use the online dispute resolution service offered by the European Commission in accordance with Article 14 of Regulation (EU) N°524/2013. This platform can be accessed at the following address: https://webgate.ec.europa.eu/odr/. Recourse to mediation is an alternative mechanism that is not a prerequisite for legal action.

In accordance with article L. 223-1 of the French Consumer Code, you have the option of registering free of charge on a Bloctel telephone anti-solicitation list (www.bloctel.gouv.fr) so that you are no longer contacted by telephone by a professional, except in the case of solicitations made in connection with the performance of a current contract and related to the purpose of that contract.
